1. Intellectual property (IP)
Provide high quality support and advice on IP matters to external and internal clients including but not limited to:
o Assisting lawyers/law firm and colleagues in drafting, negotiating and executing NDAs, licence, joint development, and other IP-related agreements for various projects;
o Manage IP-related database and portfolio and collaborate with internal clients, potentially including support for patent and/or trademark docketing and outside counsel communications.
2. Insurance Program
o Liaise with the Regional HR Coordinator for renewal of regional medical and life insurance policies on time;
o Work closely with the Regional HR Coordinator in handling complaints, concerns and issues raised by business units or brokers related to regional medical and life insurance policies;
o Maintain valid accurate insurance databases for each business unit;
o Coordinate with the global brokers, local brokers, business units, and Altrad’s Legal Manager in the general insurance matters and follow up any pending matter to ensure that the policies are in place.
3. Company secretary and corporate legal responsibilities
o Provide legal support and advice handling various corporate legal affairs and general business issues;
o Ensuring that the business units in the region have adhered to the constitution, local laws and regulations;
o Draft and review legal documents i.e. contracts, agreements, resolutions, POAs, legal notices, NDAs, etc.
o Set up new subsidiaries/branches in the region and dissolving (winding-up) of the dormant entities/branches;
o Managing and keeping the companies’ institutional documents valid and updated;
o Review documents of pre-litigation matters and potential disputes and providing initial advice;
o Coordinate with external legal counsels and handle lawsuit cases;
o Keep up with current changes in all relevant areas of law and contributing to the enhancement of the knowledge base of the company’s legal function;
o Maintain valid databases for the group structure in the Middle East;
o Support the legal team of the parent company and the board of directors in any related matters;
o Support the Communications and Sponsorship Director with event management legal documents, i.e. contracts, agreements, etc.
o Provide legal expertise for all corporate secretarial and regulated regulatory compliance.
o Liaise with the Regional HR Coordinator to select and appoint regional recruitment agencies and ensure that they comply with our agreements and internal Compliance policies;
o Liaise with the Regional HR Coordinator to monitor the business units’ compliance with the Compliance Policies;
o Ensure that the counterparty due diligence is carried out in accordance with the Counterparty Due Diligence policy;
o Liaise with the Regional HR Coordinator in preparation and timely update of risk mapping of all business units;
o Liaise with the Regional HR Coordinator in whistleblowing investigation (if applicable).
